AME Vertical Terms and Conditions
I. Terms and Conditions:
a. These terms and conditions are part of the contract documents and/or proposal governing this transaction. Amendments and/or addendums to this contract may be made in writing via change order, pending customer approval. No terms and conditions appearing on any form originated by the customer shall be applicable.
II. Payment Terms:
a. For orders over $2,000.00, a 50% down payment is required with purchase order. The remainder is due Net 30 from the date of invoice.
b. For orders $2,000.00 or less, full payment is required with purchase order.
c. Acceptable forms of payment include: Check, Money Order, Visa, MasterCard, Discover, ACH Deposit and Electronic Funds Transfer (EFT).
d. Past due amounts are subject to late payment fees calculated at 1-1/2% per month. The buyer is responsible for all costs incurred to collect past due amounts, including reasonable collection and attorney’s fees.
III. Sales Tax:
a. Any sales, use or other taxes imposed on this order are not included in the price unless specifically shown on proposal document. If applicable, such taxes shall be billed separately to the Buyer. Seller will accept a valid exemption certificate from the Buyer. If an exemption certificate previously accepted is not recognized by the government taxing authority involved, and the Seller is required to pay the tax covered by such exemption certificate, Buyer agrees to promptly reimburse Seller for the taxes paid. Buyers located outside of Michigan are responsible for any and all Sales and/or Use tax associated with this order.
IV. Shipping and Freight:
a. Customer is responsible for all freight charges. Due to fluctuations of recent oil prices, we cannot guarantee this freight price.
b. If there are any visible damages or concerns during unloading the truck, they must be made with the trucking company at the time of delivery and indicated on the bill of lading. If subsequent damage is found (concealed damage) the customer must notify AME Vertical with 24 hours of delivery. If this is not completed, the customer will be charged all additional charges for replacement material and freight charges.
